By accessing or using Project360 ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Project360. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Project360 is a comprehensive project and resource management platform designed for professional services organizations. The Service includes:

• Time tracking and timesheet management
• Project planning and resource allocation
• Financial reporting and analytics
• Leave and expense management
• Team collaboration tools
• Administrative and reporting features

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Organization Accounts

If you create an organization account, you represent that you have the authority to bind your organization to these Terms. Organization administrators are responsible for managing user access and ensuring compliance with these Terms.

4. Acceptable Use

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or other accounts
• Interfere with or disrupt the Service or servers
• Use the Service for any illegal or unauthorized purpose
• Scrape, crawl, or harvest data without permission
• Reverse engineer or attempt to extract source code
• Resell or redistribute the Service without authorization
• Impersonate others or misrepresent your affiliation

5. User Content and Data

5.1 Your Content

You retain ownership of all content and data you submit to the Service ("Your Content"). By submitting Your Content, you grant us a limited license to:

• Store, process, and display Your Content as necessary to provide the Service
• Create backups and ensure data redundancy
• Generate analytics and aggregate statistics (anonymized)

5.2 Content Responsibility

You are solely responsible for:

• The accuracy and legality of Your Content
• Maintaining appropriate backups of Your Content
• Ensuring Your Content complies with applicable laws
• Obtaining necessary rights to upload and share Your Content

5.3 Data Deletion

Upon account termination, we will delete Your Content within 90 days, except where retention is required by law or for legitimate business purposes (e.g., resolving disputes, enforcing agreements).

6. Subscription and Payments

6.1 Subscription Plans

Access to certain features requires a paid subscription. Subscription terms, pricing, and billing cycles are specified when you subscribe.

6.2 Payment Terms

• Fees are charged in advance on a recurring basis (monthly or annually)
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method automatically
• Prices are subject to change with 30 days' notice
• Failure to pay may result in service suspension or termination

6.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

7. Intellectual Property

The Service, including its design, features, code, and content (excluding Your Content), is owned by Project360 and protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer or decompile any part of the Service
• Remove or modify any copyright or proprietary notices
• Use our trademarks or branding without permission

8. Service Availability and Support

8.1 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance
• Technical issues or emergencies
• Third-party service disruptions
• Force majeure events

8.2 Support

Support availability and response times vary by subscription plan. We will use reasonable efforts to respond to support requests in a timely manner.

9. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE LAST 12 MONTHS
• WE ARE NOT RESPONSIBLE FOR DATA LOSS, SERVICE INTERRUPTIONS, OR THIRD-PARTY ACTIONS

10. Indemnification

You agree to indemnify and hold Project360 harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content

11. Termination

We may suspend or terminate your account at any time for:

• Violation of these Terms
• Non-payment of fees
• Illegal or harmful activity
• Upon your request
• Any other reason with 30 days' notice

Upon termination, your right to access the Service ceases immediately. We may delete Your Content in accordance with our data retention policies.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of South Africa, without regard to conflict of law principles.

12.2 Informal Resolution

Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting us at deank@sitehub.co.za.

12.3 Jurisdiction

Any legal action must be brought in the courts of South Africa. You consent to the exclusive jurisdiction of these courts.

13. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Project360
• Severability: If any provision is found invalid, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms; we may assign them without restriction
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our control
